STANDARD TERMS AND CONDITIONS FOR BOOKING TALENT WITH SANS SECRET

The following outlines the standard booking terms and conditions applicable to any engagement of talent represented by Sans Secret Talent Management (“Sans Secret”). These terms are binding unless otherwise agreed in writing prior to confirming a booking.

TALENT RELEASES

Any Talent Release or Service Agreement required by the Client for a Talent to sign must be submitted to Sans Secret for review and approval at least two (2) business days before the first workday. Some of these Standard Terms and Conditions may be superseded by terms in the Talent Release/Agreement. However, any terms not explicitly superseded will remain in effect. Clients are required to provide Sans Secret with copies of all final signed agreements for filing purposes.

INITIAL PERMITTED USAGE AND TALENT FEES

Unless otherwise agreed, the fees paid to the Talent and Sans Secret entitle the Client to use still images or video footage featuring the Talent for one (1) year from the date of first use or three (3) months after production, whichever is sooner, and only for the agreed-upon usage in the United States. Any additional use of the Talent’s likeness or name requires Talent approval and will be subject to a good faith negotiation for additional compensation. All usage is contingent on full payment of all fees.

DAILY/HOURLY RATES

Talent fees may be charged daily, hourly, or as flat fees, in addition to usage fees for the rights to use the Talent's name or likeness. Standard hourly rates apply Monday through Friday between 8:00 AM and 6:00 PM. Bookings exceeding five (5) hours will be charged at the day rate.

OVERTIME

Overtime rates apply for hours worked beyond 8 hours for Print and 10 hours for Film/Video engagements, or outside the standard Monday through Friday 8:00 AM to 6:00 PM workday. Overtime is calculated as:

  • 1.5x the daily rate for hours worked over 8 hours for Print and 10 hours for Film/Video, capped at 12 hours.

  • 2x the daily rate for hours worked beyond 12 hours in any 24-hour period.

  • 1.5x the daily rate for work on Saturdays.

  • 2x the daily rate for work on Sundays and Federal Holidays.

  • Custom rates may apply for call times between 6:00 PM and 8:00 AM.

TRAVEL DAY COMPENSATION

Travel days will be charged at 50% of the agreed hourly or daily rate for travel requiring flights or travel exceeding two (2) hours by car, unless negotiated otherwise.

LOCAL SHOOT TRAVEL EXPENSES

A standard mileage rate will be charged for Talent required to travel fifty (50) miles or more to a shoot, unless a flat travel fee is agreed in advance.

TRAVEL EXPENSES FOR LOCATION BOOKINGS

For location shoots, the Client will cover all travel-related expenses, including airfare, ground transportation, and hotel accommodations (one room per Talent). If the Talent is required to bring gear, any baggage fees will also be covered by the Client.

PER DIEMS

If the Client does not provide three meals per day, a $50 per diem is applicable. If only one meal is provided, the per diem is $25; for two meals, the per diem is $35.

FITTING FEES

Fitting fees are charged at $100 per hour plus a 20% agency fee unless otherwise agreed.

TECHNICAL ADVICE/CONSULTATION

Talent will not be asked to provide technical advice unless such services were specifically agreed upon prior to the engagement.

MOST FAVORED NATIONS

The Client agrees that the terms of engagement for Sans Secret Talent will be no less favorable than those offered to any other Talent engaged for the same project.

ADDITIONAL USAGE, SERVICES, AND TALENT FEES

Additional fees are required for any use of the Talent’s likeness beyond the agreed-upon initial permitted usage. These additional uses include, but are not limited to, internet, out-of-home (OOH) advertising, packaging, or trade show materials, and must be negotiated before booking.

ADDITIONAL USAGE – TERRITORY

If the Client wishes to use the Talent’s likeness in territories outside the United States, additional fees must be negotiated and agreed upon.

USE OF TALENT’S NAME

Any use of the Talent’s name or biographical information for advertising purposes must be pre-approved, and additional fees will apply.

CLIENT’S RESPONSIBILITY TO DISCLOSE

It is the Client’s responsibility to inform Sans Secret of any additional usage or service requirements before such usage occurs, and to negotiate additional fees as necessary.

EXCLUSIVITY/EXCLUSION FEES

Any exclusivity or non-compete terms that would prevent Talent from working for competitors must be negotiated with Sans Secret in advance.

AGENCY FEES

Sans Secret charges a 20% agency service fee on all Talent fees. This fee applies to all projects except Union television commercials. Agency and Talent fees will be invoiced by Sans Secret and paid by the Client.

ADDITIONAL EXPENSES

Any additional Talent-related travel or other expenses incurred by Sans Secret on the Client’s behalf will be subject to a 10% agency service charge.

INTERNATIONAL WIRE TRANSFER FEES

The Client is responsible for all wire transfer fees associated with international payments.

SALES TAX

All amounts payable are exclusive of sales tax and other applicable taxes, which the Client will pay in addition to the agreed fees.

CANCELLATIONS

For confirmed bookings, the following cancellation fees apply:

  • Less than 24 hours before the booking = 100% of the agreed fees.

  • Less than 72 hours before the booking = 75% of the agreed fees.

  • Less than seven (7) business days before the booking = 50% of the agreed fees.

PROVISIONAL BOOKINGS (HOLDS)

Provisional bookings will be automatically canceled if not confirmed within three (3) business days of the proposed booking. If canceled after confirmation, a 25% fee will be payable.

WEATHER-RELATED CANCELLATIONS

On the first cancellation due to weather, 50% of the booking fee is payable unless Talent has already arrived on set, in which case the full fee applies. Subsequent weather-related cancellations will incur the full booking fee.

PAYMENT TERMS

Payment for all Talent and Agency fees is due within thirty (30) days of the invoice date. Late payments will incur a 5% surcharge.

INTELLECTUAL PROPERTY RIGHTS

The Client may only use images or footage bearing the Talent’s likeness for the specific usage agreed upon at the time of booking. Any additional usage requires further negotiation and compensation. All rights not granted to the Client remain with the Talent.

MISCELLANEOUS TERMS

Client Acknowledgment: Client acknowledges that Talent are neither employees nor independent contractors of Sans Secret, and any employment relationship will be solely between the Client and the Talent. Sans Secret will not be responsible for payroll, taxes, or other employment obligations.

Safety: The Client is responsible for providing a safe environment for the Talent during production.

On-Set Facilities: The Client must provide adequate hydration, meals, and restroom/changing facilities. Talent food breaks are required after five (5) hours.

Complaints: Any complaints must be reported immediately to Sans Secret so that they can be addressed promptly.

Disclaimer: Sans Secret cannot be held responsible for the conduct of Talent during bookings. All issues must be addressed directly between the Client and Talent.
